Terms of Service
Effective date: April 4, 2026
These Terms govern your use of the xcaffold open-source CLI (the "CLI") and the xcaffold website available at xcaffold.com (the "Website"), both operated by Saero AI, a company registered under the laws of the Republic of the Philippines (collectively, "Saero AI," "we," or "us"). By using the CLI or the Website you agree to these Terms. If you do not agree, do not use our products.
1. The Products — How These Terms Apply
1.1 The CLI. The xcaffold CLI is open-source software released under the Apache License 2.0 ("Apache 2.0"). Your use of the CLI source code is governed by Apache 2.0, not these Terms. However, these Terms apply when you download the CLI binary from our website, use our distribution infrastructure (e.g., Homebrew tap, npm registry), or access any CLI-adjacent services we provide (e.g., the Schema Sentinel update feed).
1.2 No Conflict with Apache 2.0. Nothing in these Terms restricts rights expressly granted by Apache 2.0. Specifically, you may freely use, copy, modify, and distribute the CLI source code under the terms of Apache 2.0 regardless of these Terms. Where these Terms conflict with Apache 2.0, Apache 2.0 controls with respect to the open-source code.
1.3 The Platform. The xcaffold Platform (available at xcaffold.com, currently in early access) is proprietary commercial software providing a web interface, agent configuration management, and usage analytics. These Terms apply fully to your use of the Platform.
2. Eligibility and Accounts
2.1 Age and Capacity. You must be at least 18 years old and have full legal capacity to enter into a binding contract. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2.2 No Accounts. We do not currently require or support user accounts on the Website. Individual accounts are for a single user. Sharing credentials across multiple people is prohibited. Team accounts must be registered under an Organization.
3. Subscriptions and Payment
3.1 Paid Tiers. The Platform is currently offered in early access. Paid subscription tiers are planned and will be described on the Pricing page when billing is activated. Until billing is activated, access to the Website is provided at no charge under these Terms, which will be updated before any paid features are enabled.
4. Acceptable Use
You may use the CLI and Platform only for lawful purposes and in accordance with these Terms. You agree not to:
- —Use the Website to develop, deploy, or distribute malware, spyware, or any code designed to cause harm to third-party systems.
- —Attempt to gain unauthorized access to any part of the Website, or to any third-party systems through the Website.
- —Reverse-engineer, decompile, or disassemble any proprietary component of the Website (CLI source code under Apache 2.0 is explicitly excluded from this restriction).
- —Use automated means (bots, scrapers, crawlers) to access the Website in a way that exceeds reasonable API rate limits or impairs system stability.
- —Upload .xcaf blueprint files or agent configurations that contain or reference unlawfully obtained third-party intellectual property.
- —Resell, sublicense, or offer the Website as a managed service to third parties without our written permission.
- —Use the Website to circumvent, suppress, or undermine any AI safety measures in your organization's AI tooling.
- —Violate any applicable law, including those relating to data privacy, export controls, or intellectual property.
We reserve the right to suspend or terminate accounts that violate this section without prior notice.
5. Your Content and Data
5.1 Ownership. You retain all ownership rights in the content you upload to the Website, including .xcaf blueprint files, agent definitions, and any codebase context provided through the Website web interface ("Your Content"). You grant Saero AI a limited, non-exclusive license to process Your Content solely to provide the Platform services to you.
5.2 No Training Use. We do not use Your Content to train machine learning models or to improve third-party AI systems. Your configuration data is processed to deliver the service you requested and for no other purpose.
5.3 Your Responsibility. You are solely responsible for ensuring that the content you upload does not violate third-party intellectual property rights, does not contain personally identifiable information you are not authorized to process through the Website, and complies with any applicable confidentiality obligations.
5.4 Data Deletion. Upon account cancellation, we will delete or anonymize Your Content from our active systems within 90 days, except where retention is required by law. Backup retention may extend up to 180 days.
6. Intellectual Property
6.1 Our IP. Except for the CLI, which is licensed under Apache 2.0, all components of the Website — including but not limited to the web interface, API, agent configuration management tools, xcaffold.com, and all associated documentation — are the exclusive property of Saero AI.
6.2 Trademarks. "xcaffold," the xcaffold logo, and "Saero AI" are trademarks of Saero AI. Nothing in these Terms grants you any right to use our trademarks without our prior written consent. You may refer to xcaffold in a nominative, factual sense (e.g., "built with xcaffold") without prior permission.
6.3 CLI License Preservation. Your rights to the CLI under Apache 2.0 are governed by that license and are not affected by these Terms. Specifically, Apache 2.0 §6 makes clear that our trademarks are not included in the Apache 2.0 license grant. Forks of the CLI must be renamed and must not use the "xcaffold" name or logo.
6.4 Feedback. If you provide suggestions, bug reports, or feature requests ("Feedback"), you grant Saero AI a perpetual, royalty-free license to incorporate that Feedback into our products without obligation to you.
7. Third-Party Services and Integrations
7.1 OAuth Providers. Platform authentication is provided via GitHub OAuth and Google OAuth. Your use of GitHub is governed by GitHub's Terms of Service and Privacy Policy. Your use of Google Sign-In is governed by Google's Terms of Service and Privacy Policy. We are not responsible for the availability or actions of either provider.
7.2 Anthropic API. The xcaffold CLI uses your own Anthropic API key for LLM operations. xcaffold is an independent tool and is not affiliated with, endorsed by, or officially connected to Anthropic PBC. Your use of Anthropic's API is governed by Anthropic's own Terms of Service. You are responsible for complying with Anthropic's Terms when using agentic IDEs with xcaffold-generated configurations.
7.3 Third-Party Links. The Platform may contain links to third-party websites or services. We do not control those services and are not responsible for their content or practices.
8. Privacy and Data Protection
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Website you consent to the data practices described in the Privacy Policy.
For enterprise customers who process personal data through the Website in the context of the EU General Data Protection Regulation (GDPR) or the California Consumer Privacy Act (CCPA), we will execute a Data Processing Agreement (DPA) upon request. Contact [email protected].
9. Service Availability and SLA
9.1 Best-Effort Uptime. During early access, the Website is provided on a best-effort basis. No uptime commitment or SLA applies during this period.
9.2 Enterprise SLA. Contracted uptime SLAs with financial remedies are available under the Enterprise tier and will be specified in a separate Order Form or Enterprise Agreement. Enterprise SLA terms will be specified in a separate Order Form and apply only after billing is activated.
9.3 Maintenance. We reserve the right to take the Website offline for scheduled maintenance. We will provide reasonable advance notice via the status page at status.xcaffold.com for planned maintenance exceeding 30 minutes.
9.4 CLI Independence. The CLI operates entirely locally and is unaffected by Platform downtime. Your local agent configurations continue to function regardless of Platform availability.
10. Disclaimers
THE CLI AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAERO AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Saero AI does not warrant that: (a) the Website will meet your requirements; (b) operation of the Website will be uninterrupted or error-free; (c) defects will be corrected; or (d) the Website or servers that make it available are free of viruses or other harmful components. The foregoing disclaimer applies to the full extent permitted by Philippine law and the law of any other applicable jurisdiction.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SAERO AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS, ARISING FROM OR RELATED TO YOUR USE OF THE CLI OR PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In any case, Saero AI's aggregate liability to you for claims arising out of or related to these Terms or your use of the Website shall not exceed the total fees paid by you to Saero AI in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of consequential or incidental damages. In those jurisdictions, Saero AI's liability is limited to the greatest extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Saero AI and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the CLI or Platform in violation of these Terms; (b) Your Content; (c) your violation of any applicable law or third-party rights; or (d) any dispute between you and any of your end users.
13. Termination
13.1 By You. You may terminate your account at any time by cancelling your subscription and deleting your account from the settings page.
13.2 By Us. We may suspend or terminate your access to the Website for cause (e.g., material breach of these Terms, non-payment, illegal activity) with reasonable prior notice where practicable. We may terminate your account immediately if your actions pose a security risk to the Website or other users.
13.3 Effect. Upon termination, your right to access the Website ceases. Sections 5.4 (data deletion), 6 (IP), 10 (disclaimers), 11 (liability), 12 (indemnification), 14 (governing law), and 15 (disputes) survive termination.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of laws provisions. Where applicable and not in conflict with Philippine law, consumer protection regulations of your local jurisdiction (including EU consumer protection law for EU residents and CCPA rights for California residents) also apply to your use of the Website.
15. Dispute Resolution
15.1 Informal Resolution. Before initiating formal proceedings, both parties agree to attempt good-faith resolution by notifying the other party at [email protected] and allowing 30 days to resolve the dispute informally.
15.2 Arbitration. If informal resolution fails, disputes shall be resolved by binding arbitration administered by the Philippine Dispute Resolution Center (PDRC) under its Commercial Arbitration Rules. Arbitration shall be conducted in English in Metro Manila, Philippines, unless both parties agree otherwise.
15.3 Exceptions. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, without prejudice to the right to arbitration on the merits.
15.4 EU Residents. If you are a resident of the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
16. General
16.1 Changes to Terms. We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice on the Website at least 14 days before the changes take effect. Your continued use after the effective date constitutes acceptance.
16.2 Entire Agreement. These Terms, together with the Privacy Policy and any executed Order Form or Enterprise Agreement, constitute the entire agreement between you and Saero AI regarding the subject matter herein.
16.3 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.
16.4 Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
16.5 Assignment. You may not assign these Terms or any rights under them without our prior written consent. Saero AI may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
16.6 Force Majeure. Saero AI is not liable for any failure or delay resulting from causes beyond our reasonable control, including natural disasters, government actions, internet outages, or failures of third-party infrastructure.
